1. Definitions

• "Service" or "Services" — consulting engagements offered by Sukhothai Works, as described on this website.
• "We", "Us", "Our" — Sukhothai Works, operating from 17/3 Krabi Road, Talat Yai, Mueang, Phuket 83000, Thailand.
• "You" or "Client" — the individual or business entity that engages our Services or uses our website.
• "Engagement" — a specific consulting project undertaken under a written scope of work agreement.
• "Website" — the website located at sukhotha.info and all associated pages.

2. Acceptance of Terms

By accessing the website or engaging our Services, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are engaging Services on behalf of a business, you confirm that you have authority to bind that business to these terms.

3. Description of Services

Sukhothai Works offers independent hospitality consulting services to owners and operators of independent hotels, guesthouses, and small resort properties in Thailand. The three core engagement types are described on the Solutions page of this website. All Services are advisory in nature. We do not manage properties, employ hotel staff, or hold any operational or financial responsibility for client properties.

4. Engagement Terms

Each consulting engagement is governed by a written scope of work document agreed between Sukhothai Works and the client prior to commencement. The scope document takes precedence over any general description of Services on this website. No engagement commences until a written scope has been agreed and the applicable deposit has been received.

• Additions to scope during an engagement require written agreement before they are undertaken.
• Engagements conducted at properties outside Phuket may involve travel costs, which are agreed in writing before the engagement begins and passed through at cost.
• All engagements are subject to a non-disclosure arrangement, the terms of which are set out in a separate document.

5. Fees and Payment

Fees for each engagement type are as published on this website, denominated in Thai Baht (THB). Payment terms are as follows:

• Property and Operation Review (฿9,300): Payment in full is required prior to the on-site visit commencing.
• Repositioning Engagement (฿32,600): 50% at engagement commencement; 50% on delivery of the final positioning document.
• Owner Advisory Partnership (฿64,700): Billed quarterly in advance. The first payment is due prior to the partnership commencing.

Fees are exclusive of out-of-pocket costs (travel, accommodation outside Phuket) which are invoiced separately at cost. Fees are non-refundable except as set out in Section 9 below.

6. Confidentiality

Sukhothai Works treats all information provided by clients as confidential. A non-disclosure arrangement is put in place before each engagement. Information about your property, operations, team, or business circumstances will not be shared with third parties without your explicit written permission. Any reference to an engagement in a professional context (such as a case study or speaking engagement) will only be made with prior written consent.

7. Intellectual Property

Written outputs produced during an engagement (observation notes, positioning documents, correspondence) are provided to the client for their own use. The client may share these outputs with their team and advisers. Sukhothai Works retains copyright in all written materials produced. Materials may not be published, reproduced commercially, or shared publicly without prior written permission.

All content on this website — including text, design, and structure — is the intellectual property of Sukhothai Works and may not be reproduced without permission.

8. Disclaimer

Our Services are advisory in nature. Observations, recommendations, and positioning documents represent the professional judgment of the consultant based on available information. We do not provide financial, legal, or tax advice. The outcomes of any engagement depend on many factors outside our control, including decisions made by the client, market conditions, and operational variables. We make no representation as to specific business outcomes.

9. Cancellation and Refunds

• If the client cancels a Property Review prior to the on-site visit commencing, a full refund will be issued less any travel costs already incurred.
• If the client cancels a Repositioning Engagement after commencement, fees corresponding to work completed are non-refundable; any remaining instalments are waived.
• Advisory Partnerships may be terminated by either party with 30 days' written notice. Fees for the current quarter are non-refundable; future quarterly payments are not due.
• If Sukhothai Works cancels an engagement for reasons within our control, fees paid will be refunded in full.

10. Limitation of Liability

To the extent permitted by applicable law, Sukhothai Works' liability in connection with any engagement is limited to the fees paid for that engagement. We are not liable for indirect, consequential, or incidental losses arising from the use of our Services or from decisions made on the basis of our advice.

11. Governing Law and Jurisdiction

These Terms and any disputes arising from them are governed by the laws of the Kingdom of Thailand. The parties submit to the non-exclusive jurisdiction of the courts of Phuket, Thailand. Nothing in this clause limits the right of either party to seek injunctive or other equitable relief in any jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time. The updated version will be published on this page with a revised "Last Updated" date. Continued use of the website or engagement of Services following any update constitutes acceptance of the revised Terms. Engagements already in progress are governed by the Terms in effect at the time the scope of work was agreed.
